The terms that apply when you use Genius Outreach or engage us to provide services.

These Terms of Service explain the terms that apply when you use the Genius Outreach website or engage Genius Outreach to provide services.
Genius Outreach is operated by Steven Christodulidis trading as Genius Outreach.

1. About Genius Outreach
Genius Outreach provides business-to-business outbound services, including campaign strategy, targeting, prospecting, email infrastructure, outreach, AI-enabled personalization, reply management, scheduling and related campaign services.
Our services are intended for businesses and people acting in a professional or commercial capacity, including companies, agencies, sole traders, freelancers and consultants.
They are not intended for personal or household use.
2. Using our website
You may use the Genius Outreach website to learn about our services, review information about our approach and submit an inquiry about working with us.
You agree not to:
Use the website for unlawful or fraudulent purposes
Attempt to interfere with the website or its security
Attempt to gain unauthorized access to our systems
Copy or misuse website content, branding or materials without permission
Submit false, misleading or malicious information through our forms
We may change, suspend or remove website content at any time.
3. Engaging Genius Outreach
Submitting an inquiry does not create a client relationship or require Genius Outreach to accept a campaign.
Before working together, we may review your offer, target market, commercial model and other relevant information to determine whether we believe outbound is a suitable fit.
We may decline an opportunity at our discretion.
Where Genius Outreach agrees to provide services, the specific campaign scope, pricing, qualification criteria and commercial model may be set out in a proposal, order form, campaign agreement or other written agreement.
If a specific written agreement conflicts with these Terms, the specific agreement will take priority for that engagement.
4. Our services
Depending on the agreed campaign, Genius Outreach may provide services including:
ICP and targeting development
Campaign strategy
Offer and messaging development
Prospect data procurement
Sending domains and inboxes
DNS configuration and warm-up
Email verification
Genius Growth Bots setup
Knowledge bases and prompt architecture
Personalized outreach
Campaign execution
Infrastructure monitoring
Reply management
Scheduling
Campaign optimization
Client communication and reporting
The exact services included will depend on the campaign and commercial model agreed with you.
5. Performance-based services
Genius Outreach may offer performance-based commercial models where charges are linked to agreed campaign outcomes.
These may include:
Qualified Conversations, where payment is linked to a Qualified Positive Response from a prospect who meets the agreed qualification criteria and demonstrates genuine commercial interest.
Managed Meetings, where payment is linked to an ICP-qualified meeting that takes place under the agreed campaign criteria.
The exact definition, qualification criteria and price of each billable outcome will be agreed before the campaign begins.
A performance-based pricing model does not mean that Genius Outreach guarantees a particular number of responses, conversations, meetings, opportunities, pipeline or revenue.
6. No guarantee of results
Outbound performance can be affected by factors including your offer, market, pricing, competition, timing, buyer demand, available prospect volume and sales readiness.
We do not guarantee:
A specific response rate
A specific number of Qualified Positive Responses
A specific number of meetings
Pipeline
Sales opportunities
Revenue
Return on investment
Close rates
We will, however, apply our industry experience, systems, data, technology and human judgment with the aim of maximizing campaign performance.
We may test, optimize, pause or change campaign approaches where we believe doing so is reasonably necessary to improve performance or protect campaign effectiveness.
7. Your responsibilities
Performance-based outbound requires cooperation from both sides.
You agree to provide accurate and timely information reasonably required to build and operate your campaign.
This may include:
Information about your products or services
Case studies
Sales decks
One-pagers and brochures
Pricing guidance
Qualification criteria
Objection-handling information
Blocklists
Calendar access or availability
Other information reasonably required to represent your offer accurately
You are responsible for making sure information you provide is accurate and that you have the right to provide and use it.
You must also cooperate reasonably once a campaign is live.
Depending on your commercial model, this may include:
Responding promptly to interested prospects
Maintaining reasonable calendar availability
Attending scheduled meetings
Keeping lead and meeting statuses accurate
Reviewing qualification decisions promptly
Providing campaign feedback when reasonably requested
Paying valid invoices when due
Our performance-based model means Genius Outreach may invest significant time, infrastructure, data and operational resources before a billable outcome is created.
Clients must therefore act reasonably and in good faith when managing opportunities, qualification decisions and payments.
8. Client-caused lost opportunities
A client must not intentionally or unreasonably prevent an otherwise valid campaign outcome from progressing in order to avoid a charge.
Depending on the campaign agreement, an outcome may still be treated as billable where Genius Outreach has delivered a prospect that meets the agreed criteria but the opportunity is lost primarily because of the client’s actions or inaction.
Examples may include:
Failing to respond to an interested prospect within an agreed or reasonable timeframe
Failing to maintain reasonable meeting availability
Missing a scheduled meeting through the client’s own fault
Refusing a meeting without reasonable grounds where the prospect meets the agreed qualification criteria
Failing to update campaign statuses within an agreed review period
Otherwise preventing a qualifying opportunity from progressing after Genius Outreach has delivered the agreed outcome
Qualification disagreements will be handled reasonably and in good faith using the campaign criteria agreed before launch.
Campaign-specific agreements may include more detailed response times, review deadlines and billing rules.
9. Campaign management and control
Because Genius Outreach provides and manages campaign infrastructure, data and execution, we retain reasonable operational control over how campaigns are run.
This may include decisions relating to:
Sending infrastructure
Domains and inboxes
Sending volumes
Prospect data
Targeting implementation
Campaign settings
Messaging deployment
Testing
Infrastructure replacement
Campaign optimization
Clients may provide feedback and request changes, but changes that materially affect targeting, messaging, infrastructure or campaign operation may require approval from Genius Outreach.
We may pause or adjust a campaign where we believe continuing in its current form would be ineffective, commercially impractical, unlawful or harmful to campaign infrastructure or reputation.
10. Pricing and payment
Pricing is agreed individually for each campaign.
Unless otherwise agreed, you are responsible for paying valid charges generated under your agreed commercial model.
Invoices must be paid by the due date shown on the invoice or otherwise agreed in writing.
We may require clients to maintain a valid payment method on file.
Where agreed, you authorize us and our payment provider to automatically charge that payment method for amounts properly due under your campaign pricing and billing terms.
Automatic charges will only be made in accordance with the commercial terms agreed with you.
If an invoice or valid charge remains unpaid, we may:
Pause campaign activity
Suspend access to services
Withhold further delivery
Terminate the engagement
Recover reasonable collection costs
Claim interest or other amounts available under applicable law
We will act reasonably when resolving genuine billing disputes, but clients are expected to review campaign outcomes and raise concerns promptly rather than withholding payment without explanation.
11. Campaign term and cancellation
Unless otherwise agreed in writing, campaigns operate on a month-to-month basis.
Clients must provide at least one month’s notice to cancel an active campaign.
We may request reasonable advance notice for significant operational changes, including:
Major campaign changes
Planned periods of unavailability
Changes to salespeople or SDRs
Material changes to the offer or target market
Genius Outreach may pause or terminate a campaign where continued delivery is no longer commercially, operationally or legally practical, including where there is repeated non-payment or failure to cooperate.
Any valid charges incurred before termination remain payable.
12. Campaign data, infrastructure and intellectual property
You retain ownership of the materials and information that you provide to Genius Outreach.
This may include your:
Brand materials
Product information
Sales materials
Existing case studies
Pricing information
Internal commercial information
Genius Outreach retains ownership of its own:
Methodologies
Campaign systems
Reusable frameworks
Sending infrastructure
Purchased prospect data
Internal processes
Reusable prompt structures
Technology configurations
Know-how
Access to campaign-specific materials or Genius Growth Bots during an engagement does not transfer ownership of the underlying Genius Outreach systems, infrastructure or methodology.
More specific ownership arrangements may be included in a campaign agreement.
13. Genius Growth Bots and third-party services
Genius Outreach may provide clients with access to Genius Growth Bots and other tools used to operate campaigns.
We may also rely on third-party providers for services such as:
Prospect data
Email infrastructure
Scheduling
Payments
Communications
Analytics
Storage
Campaign technology
Availability of individual tools or features may change over time.
We do not guarantee that any specific third-party service will remain available indefinitely.
14. Confidential information
During an engagement, either party may receive confidential or commercially sensitive information from the other.
Both parties agree to take reasonable steps to protect confidential information and not disclose it unnecessarily to third parties.
This does not apply to information that:
Is already publicly available
Was lawfully known before disclosure
Is independently developed without using the confidential information
Must be disclosed by law or valid legal process
15. Acceptable campaigns
You must not use Genius Outreach to promote unlawful, fraudulent, deliberately deceptive or abusive products, services or activities.
You must not knowingly provide false claims or misleading information for use in campaigns.
We may refuse, pause or terminate campaigns that we reasonably believe create unacceptable legal, ethical, infrastructure or reputational risk.
16. Website and service availability
We aim to keep our website, campaign systems and services available and operating reliably.
However, technology, email infrastructure, third-party providers and online services can experience interruptions, errors or outages.
We do not guarantee uninterrupted or error-free access to the website, Genius Growth Bots or any particular third-party service.
We may perform maintenance, replace infrastructure or modify systems where reasonably necessary.
17. Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
To the extent permitted by law, Genius Outreach is not responsible for indirect or consequential losses arising from use of the website or services, including losses caused by factors outside our reasonable control.
We are not responsible for a client’s sales performance, closing process or commercial decisions after a prospect has been handed over or introduced.
Any additional limitations of liability relating to a paid campaign may be set out in the applicable campaign agreement.
18. Third-party links
Our website and services may contain links to third-party websites, platforms or services.
We are not responsible for the content, availability or practices of services that we do not control.
Use of third-party services may also be subject to their own terms and policies.
19. Changes to these Terms
We may update these Terms as Genius Outreach develops, our services change or legal requirements evolve.
The latest version will be published on this page with the updated date shown at the top.
Changes will not override specific commercial terms already agreed with a client unless otherwise agreed or required by law.
20. Governing law and disputes
These Terms and any non-contractual disputes arising from them are governed by the laws of England and Wales, unless a separate written agreement specifies otherwise.
The courts of England and Wales will have jurisdiction over disputes relating to these Terms, subject to any mandatory rights or laws that apply.
Where possible, we encourage clients to contact us first so that commercial disagreements can be addressed directly and reasonably.
